Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you and Payzoplus Global Private Limited. Please read them carefully before using our platform.

1. About these Terms

These Terms govern your access to and use of the websites, mobile applications, application programming interfaces (APIs), dashboards, and payment-related services (collectively, the “Platform” or “Services”) operated by Payzoplus Global Private Limited, a company incorporated under the Companies Act, 2013 (CIN U62099MP2025PTC080778), having its registered office at Deep Tower, 100/2, Keladevi Road, Vikas Nagar, Mishrilal Nagar, Ganga Nagar, Dewas, Madhya Pradesh 455001, India(“Payzoplus”, “Company”, “we”, “us” or “our”). By creating an account, accessing, or using the Services, you (“User”, “you”) agree to be bound by these Terms, our Privacy Policy, Refund Policy, AML & KYC Policy, and all applicable schedules, which are incorporated herein by reference.

These Terms constitute an “electronic record” under the Information Technology Act, 2000 and the rules made thereunder, and do not require any physical or digital signature.

2. Eligibility

  • You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872.
  • You must be a resident of India or otherwise legally permitted to use the Services in your jurisdiction.
  • If you use the Services on behalf of a business entity, you represent that you are authorised to bind that entity, and “you” refers to that entity.
  • You must not be a person barred from receiving services under applicable laws, including any sanctions, watch-lists, or RBI/government directions.

3. Nature of services & regulatory framework

Payzoplus provides a technology platform that facilitates domestic and cross-border payments, multi-currency wallets, invoicing, payment links, and related value-added services. Regulated activities such as the holding of funds, foreign-exchange conversion, and settlement are carried out through licensed banking and authorised-dealer partners. Payzoplus does not itself act as a bank and does not accept deposits.

Cross-border remittances are processed in accordance with the Foreign Exchange Management Act, 1999 (FEMA), the RBI Master Directions on Liberalised Remittance Scheme (LRS) and Money Transfer Service Scheme, and applicable purpose-code and documentation requirements. You are responsible for ensuring each transaction complies with these requirements.

4. Account registration & KYC

To use most Services you must register an account and complete identity verification (KYC) in line with the RBI Master Direction on KYC, the Prevention of Money Laundering Act, 2002 (PMLA), and our AML & KYC Policy. You agree to provide accurate, current, and complete information and to keep it updated. We may suspend or refuse Services where verification is incomplete, fails, or where we are required to do so by law or by a competent authority.

5. Your responsibilities

  • Maintain the confidentiality of your credentials, API keys, and one-time passwords; you are responsible for all activity under your account.
  • Use the Services only for lawful purposes and bona fide transactions.
  • Provide truthful transaction details, including correct purpose codes, beneficiary details, and supporting documents.
  • Comply with all applicable tax obligations, including GST and TCS where relevant.
  • Notify us immediately of any unauthorised access, suspected fraud, or security breach.

6. Prohibited uses

You must not use the Services to send, receive, or facilitate payments connected with:

  • Money laundering, terrorist financing, or proceeds of crime;
  • Activities prohibited under FEMA, including transactions on the prohibited or restricted LRS list (e.g., lottery, margin trading, certain forex products);
  • Trade in illegal goods or services, narcotics, weapons, or counterfeit products;
  • Unlicensed gambling, betting, or virtual-digital-asset activities prohibited by law;
  • Fraud, phishing, pyramid or Ponzi schemes, or transactions involving sanctioned persons, entities, or jurisdictions;
  • Any activity that violates applicable Indian or international law, or the rules of our banking and network partners.

7. Fees & charges

Fees applicable to the Services are published on our Pricing page and within the Platform before you confirm a transaction. Fees are exclusive of applicable taxes (including GST at 18% on fees) unless stated otherwise. We may revise fees with prior notice through the Platform or by email. Foreign-exchange rates are indicative until the transaction is executed.

8. Transaction processing, limits & holds

We may set transaction, velocity, and balance limits, and may decline, delay, place a hold on, freeze, or reverse a transaction where we reasonably suspect fraud, error, breach of these Terms, or a regulatory requirement, or where directed by a bank, network, or competent authority. Settlement timelines are estimates and may vary based on partner and beneficiary-bank processing.

9. Intellectual property

All content, trademarks, logos, software, and materials on the Platform are owned by or licensed to Payzoplus and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. You may not copy, modify, reverse-engineer, scrape, or create derivative works without our prior written consent.

10. Third-party services

The Services rely on third-party banking partners, payment networks, and service providers. Your use of those services may be subject to their terms. We are not responsible for the acts or omissions of third parties beyond our reasonable control.

11. Suspension & termination

You may close your account at any time after settling outstanding obligations. We may suspend or terminate your access, with or without notice, where required by law or a regulator, on suspicion of prohibited activity, on breach of these Terms, or to protect the integrity of the Platform. Sections intended to survive termination (including indemnity, liability, and dispute resolution) will continue to apply.

12. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

13. Limitation of liability

To the maximum extent permitted by law, Payzoplus, its directors, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, or data. Our aggregate liability arising out of or relating to the Services shall not exceed the total fees paid by you to Payzoplus in the three (3) months preceding the event giving rise to the claim.

14. Indemnity

You agree to indemnify and hold harmless Payzoplus and its partners from any claim, loss, liability, penalty, or expense (including reasonable legal fees) arising out of your breach of these Terms, violation of law, or misuse of the Services.

15. Governing law & dispute resolution

These Terms are governed by the laws of India. Subject to the arbitration clause below, the courts at Indore, Madhya Pradesh shall have exclusive jurisdiction. Any dispute shall first be attempted to be resolved amicably through our Grievance Redressal process. Failing resolution, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Indore, conducted in English.

16. Changes to these Terms

We may amend these Terms from time to time. Material changes will be notified through the Platform or by email. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
